1. RULES

These are the official rules that govern how the Sea of Thieves Play it First promotion will operate. This promotion will be simply referred to as the "Contest" throughout the rest of these rules.

The object of this skill Contest is to create the most creative, interesting and inspired Sea of Thieves fan video or image. All eligible entries received will be judged using the criteria described below to determine the winners of the prizes described below.

In these rules, "Microsoft", "we", "our", and "us" refer to Microsoft Ireland Operations Limited. "You," "yourself" refers to an eligible Contest entrant. “The Promoter” is Microsoft Ireland Operations Limited, 70 Sir John Rogerson’s Quay, Dublin 2, Ireland For the purposes hereof, “Territory” shall mean: Any country where Xbox Live is available.

2. ELIGIBILITY

Subject to the requirements set forth in Section 6 below, the Contest is open to any anyone residing in the Territory who is 18 years of age or older (the "Required Age") at the time of entry and who has not been judicially impeded from acting on its own. Proof of age, identity and place of residence may be required and requested. Employees of Microsoft (which includes, without limitation, its directors, executive officers, agents and consultants), or its affiliates and subsidiaries are not eligible, nor are members of these employees’ families (defined as parents, children, siblings, and spouse and life partners). You are also not eligible if you were or are involved in any part of the administration or execution of this Contest. Please note that this Contest is void outside of the Territory and wherever else prohibited by law.

3. ACCEPTANCE

When entering into this Contest, you will be requested to accept fully and unconditionally these Terms and Conditions and to agree to be bound by them. You also agree to abide by the terms and conditions of any third party website or service where the Contest is hosted, if any.

4. STATEMENT OF AGE

By entering into this Contest, you are stating that you are of the Required Age to participate in the Contest.

5. ENTRY PERIOD

This Contest runs from 1PM GMT on March 9, 2016 and closes 11:59PM GMT on April 26, 2016 inclusive (the “Promotional Period”). Entries received outside of the Promotional Period will not be considered.

6. TO ENTER

(a) ENTRY REQUIREMENTS

To enter into this Contest, you must:

Create a unique and creative video or image in which you showcase your personality, style and describe why you should be one of the first fans to play Sea of Thieves. The video or image must meet eligible entry criteria described below. Then Post the video on a free publically accessible video hosting site. There are two ways to submit your video or image for during the Entry Period:

Via Twitter: Create or login to your legally registered Twitter account and take necessary steps to follow @SeaOfThieves. Then post a publicly viewable / unprotected message that includes a link to your video or image and the Contest hashtag #SeaOfThievesContest. All elements must be included to be eligible. The message you post and your video or image will together be your entry.

Via Facebook: Create or login to your legally registered Facebook account and take necessary steps to like the Sea of Thieves Facebook page, Facebook.com/SeaOfThievesGame. Then post a publicly viewable / unprotected message that includes a link to your video or image and the Contest hashtag #SeaOfThievesContest. All elements must be included to be eligible. The message you post and your video will together be your entry.

(b) CONTEST DESCRIPTION

This is a Contest of skill and chance plays no part in the determination of the winner(s).

(c) DISQUALIFICATION

We will automatically disqualify: any incomplete or illegible entry; OR any entries that we receive from you that are in excess of the entry limit described below; OR any entrant whose entry (in the reasonable belief of the Promoter) is not in accordance with these Terms and Conditions or who (in the reasonable belief of the Promoter) tampers with the entry process or is otherwise involved in any way in manipulating, interfering or tampering with this promotion or engages in any un-sportsman-like or dishonest conduct of any kind. Errors and omissions may be accepted at the Promoter absolute discretion. Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights.

(d) ENTRY LIMIT

The use of automated devices to enter this Contest is prohibited. The Promoter is not responsible for lost, corrupted, illegible or delayed entries or for network, computer, hardware or software failures of any kind which may restrict or delay the sending or receipt of your entry. Only one (1) submission per eligible member will be accepted as an entry (for avoidance of doubt, the maximum number of entries in the Contest per eligible member is one (1)). Further submissions will not be counted as entries. No purchase necessary. The Promoter reserves the right, at any time, to verify the validity of entries and entrants (including an entrant’s identity, age and place of residence). We will only accept one (1) entry per person (same first and last name) and email address / social media account. An entrant may use only one (1) email address/ social media account account to enter into the Promotion.

7. ELIGIBLE ENTRIES

  • Your video or image cannot have been selected as a winner in any other contest; and
  • You must have obtained any and all consents, approvals or licenses required for you to submit your video or image; and
  • The video or image must be your own original work; and
  • You must be the person appearing in the video or image; and
  • Any commentary must be in English for English speaking judges; and
  • Your video or image may not include any third party trademarks (logos, names) or copyrighted materials (music, images, video, recognizable people). You may include Microsoft trademarks, logos, and designs, for which Microsoft grants you a limited license to use for the sole purposes of submitting an entry into this Contest; and
  • Your video or image may NOT contain, as determined by us, in our sole and absolute discretion, any content that is obscene, offensive; sexually explicit, derogatory of any ethnic, racial, gender, religious, professional or age group; promotes alcohol abuse, illegal drugs, tobacco, actual firearms/weapons (or the use of any of the foregoing) or a particular political agenda; defames, misrepresents or contains disparaging remarks about other people or companies or communicates messages or images inconsistent with the positive images and/or good will to which we wish to associate; and/or violates any law.

8. SELECTION OF WINNERS

Potential winners will be determined by a panel of qualified judges from Rare Ltd. (whose names will be available on request, which will include at least one independent judge, and which will review all eligible entries received and select 6 winners based upon the following criteria:

  • 33.00% - Creativity
  • 33.00% - Entertainment value
  • 33.00% - Level of excitement for Sea of Thieves

The decisions of these judges, which are subjective, are final, non-appealable and binding. The decision will be made between March 10 and April 26 and will take place at Rare Ltd, Manor Park, Watery Lane, Twycross CV9 3QN. If we do not receive a sufficient number of entries meeting the entry requirements, we may, at our discretion based on the above criteria, select fewer than 6 winners. In the event of a tie between any eligible entries, the tie will be broken by an additional judge who will judge the tied entries based on the criteria listed above.

Potential winners will be determined based on the creativity, originality and adherence to the contest theme of their entry. This criteria are objective. Winners determination, which is final, non-appealable and binding, will be made shortly after the end of the Promotional Period.

9. CONTACTING WINNERS

Attempts to contact the initial winner(s) will begin on March 10 2016 using the Social media account details provided at time of entry. Initial winner(s) will be asked to respond to an email sent to them from Rare Limited. This email will request the winner(s)’ preferred delivery address (as the prize will be sent via post) and will include a time to respond by. If the email is not responded to within the period listed on the winner(s) notification messages, the winner(s) will forfeit his/her prize and an alternative winner will be contacted. Attempts will then be made to contact the first drawn runner up. It is your responsibility to respond, as a winner. We will not enter into discussion beyond this point. This process will continue using appropriately drawn runner up details until attempts to contact the second runner up are exhausted.

10. PRIZES:

There will be 6 prizes total. The prize(s) will be as follows:

(6) Grand Prize. Each winner will receive a trip (for winner only) to Twycross, UK, for the opportunity to tour Rare Ltd and meet Rare game software developers. Includes:

  • Round trip coach airfare from major airport closest to winner's home.
    • If winner lives within 100 miles of travel destination, Sponsor reserves the right to provide alternative transportation.
  • Transportation between airport, hotel, and studio
  • Three (3) nights standard hotel accommodations
  • Daily meals
  • A tour of the Rare Studio

The total Approximate Retail Value (ARV) of this Package is £2,000.

Actual value depends on date/time/destination, and difference between actual value and stated value will not be awarded. Flights, accommodation or other forms of bookings are subject to availability. All travel arrangements are at the Promoter's discretion and dependent on the winner’s nearest capital airport. If the Sponsor is unable to supply the nominated prize, or part of any nominated prize the promoters reserve the right, subject to the written directions of any authority to supply another prize of greater or equal value. The Winner must depart from and return to the same point of departure. Winner is solely responsible for obtaining any documents necessary for travel, including a government issued ID and/or passport for international travel.

All transfers, meals, beverages, extra activities, spending money and all other ancillary costs (including travel insurance) not expressly provided, as well as obtaining any of these, are the responsibility of the prize winner. In the event that, for any reason whatsoever, a prize winner does not take an element of the prize at the time stipulated by the Sponsor then that element of the prize will be forfeited by the winner and cash will not be awarded in lieu of that element of the prize. A credit card imprint or cash deposit may be required from Winner at check-in to the hotel, for all incidental charges.

The total Approximate Retail Value (ARV) of all prizes: £12,000

If you are a potential winner, we will notify you by sending a message to the e-mail address, the phone number, or mailing address (if any) provided at time of entry within seven (7) days following completion of judging. If the notification that we send is returned as undeliverable, or you are otherwise unreachable for any reason, we may award to a runner-up.

If there is a dispute as to who is the potential winner, we will consider the potential winner to be the authorized account holder of the e-mail address used to enter the Contest. If you are a potential winner, we may require you to sign an Affidavit of Eligibility, Liability/Publicity Release and a W-9 tax form or W-8 BEN tax form within 10 days of notification. The Publicity Release, among other things, grants Released Parties and their respective designees the right to photograph, film and / or use the Winners name and likeness for advertising and publicity purposes without additional compensation, consistent with these Official Contest Rules.

You are advised to seek independent counsel regarding the tax implications of accepting a prize. If you are a potential winner and you are 18 or older, but are considered a minor in your place of legal residence, we may require your parent or legal guardian to sign all required forms on your behalf. If you do not complete the required forms as instructed and/or return the required forms within the time period listed on the winner notification message, we may disqualify you and select a runner-up.

  • You may not exchange your prize for cash or any other merchandise or services. However, if for any reason an advertised prize is unavailable or if it is unlawful to supply the prize to you in terms of the laws of your country of residence, we reserve the right to substitute a prize of equal or greater value; and
  • You may not designate someone else as the winner. If you are unable or unwilling to accept your prize, we will award it to an alternate potential winner amongst the runners up referred to above; and
  • If you accept a prize, you will be solely responsible for all applicable taxes related to accepting the prize, if any; and
  • Unless otherwise noted, all prizes are subject to their supplier’s warranty and / or terms and conditions.

Prizes will be delivered within 20 working days from the day that an email response to confirm delivery details is received by the winner(s), in accordance with the above. The Promoter is not responsible for any delays in the postal service.

11. WINNERS LIST

You hereby grant Microsoft Corporation and its affiliates the right to publish your name or likeness in online and offline media for this Contest, in case you are a winner. The eventual winner may be requested (which request you may decline) to participate in further publicity or advertising without remuneration, which may include the use of their name or likeness for advertising and publicity purposes. Prize winners’ names will be available for a three months period from the day of winners’ selection by writing to the following address: Sea of Thieves contest winners, Microsoft Limited. Manor Park, Watery Lane, Twycross, CV9 3QN.

12. LAWS

These Terms and Conditions, the conduct of this Contest and the interpretation and enforcement of these Terms and Conditions shall be governed and construed exclusively in accordance with the laws of the participant’s country of residence. Nothing herein shall deprive you of any more favourable terms that could apply to you under the laws of the participant’s country of residence. For residents of Great Britain only: The provisions of the Contracts (Rights of Third Parties) Act 1999 shall not apply to this agreement.

13. AMENDMENT

To the extent permitted by applicable law, the Promoter reserves the right to amend, modify, cancel or withdraw this Contest and to amend these Terms and Conditions at any time without notice. If cheating, a virus, bug, catastrophic event, or any other unforeseen or unexpected event that cannot be reasonably anticipated or controlled, (also referred to as force majeure) affects the fairness and /or integrity of this Contest, we reserve the right to cancel, change or suspend this Contest. This right is reserved whether the event is due to human or technical error. If a solution cannot be found to restore the integrity of the Contest, we reserve the right to select winners from among all eligible entries received before we had to cancel, change or suspend the Contest. If you attempt to compromise the integrity or the legitimate operation of this Contest by hacking or by cheating or committing fraud in ANY way, we may seek compensation from you for any losses that we incur as a result of your actions to the fullest extent permitted by law. Further, we may ban you from participating in any of our future Contests, so please play fairly.

14. LIABILITY

Microsoft cannot guarantee the performance of any third party and shall not be liable for any act or default by a third party. Participants in this Contest agree that Microsoft will have no liability whatsoever for any injuries, losses, costs, damage or disappointment of any kind resulting in whole or in part, directly or indirectly from acceptance, misuse or use of a prize, or from participation in this Contest. The foregoing shall apply in the event your data or your entry is not received or lost by Microsoft. Nothing in this clause shall limit Microsoft’s liability in respect of death or personal injury arising out of its own negligence or arising out of fraud. The provisions of this Section shall apply to the maximum extent permitted by applicable law.

15. DATA

Any personal data relating to entrants will be used solely in accordance with current data protection legislation applicable in your country of residence and in the country where the data controller is located. Entrants to the Contest will not be added to any database list. They will however be contacted on the email address or phone number supplied within 7 days following the selection to be advised if they were successful. This time period will begin again each time Microsoft attempts to contact a new potential winner. Microsoft’s Privacy Statement located at http://privacy.microsoft.com/enGB/default.mspx will apply to this Contest and to all information that we receive from your entry. Please read the Privacy Statement on the Contest entry page before accepting these Terms and Conditions and submitting your entry. Please note that by accepting these Terms and Conditions you are also accepting the terms of the Privacy Statement.

The personal data relating to entrants shall be mandatorily required to enter this Contest. Refusal by entrants shall impede entry into this Contest. The data will be temporary used by Microsoft Corporation and its affiliates and by any of its representative or employees for the use and purposes to run the Contest as provided in these Terms and Conditions. Entrants may have the right to exercise their rights of access, cancelation of their data in: The Sea of Thieves Play it First Contest, Microsoft Limited, Manor Park, Watery Lane, Twycross, CV9 3QN.

16. OTHER

No correspondence will be entered into regarding either this Contest or these Terms and Conditions. In the event of a dispute, the Promoter’s decision shall be final in all respects on all entrants.
